Welcome to Kaizen. These Terms of Service (“Terms”) govern your access to and use of our website, products, and services.
Throughout these Terms, “Kaizen,” “we,” “us,” and “our” refer to Kaizen and, where applicable, the legal entity operating the Kaizen brand.
By visiting our website, placing an order, creating an account, or otherwise using our services, you agree to these Terms and any additional policies referenced in them, including our Privacy Policy and Shipping & Returns Policy.
If you do not agree to these Terms, please do not use our website or services.
1. Eligibility and Use of Our Website
By using our website or placing an order, you represent that you are legally capable of entering into a binding agreement or are using the website with the permission of a parent or legal guardian where required.
You may use our website only for lawful purposes.
You may not use our website or services to:
Violate any applicable law or regulation.
Commit fraud or engage in deceptive activity.
Attempt to gain unauthorized access to our website, systems, customer accounts, or data.
Introduce viruses, malware, or other harmful technology.
Scrape, copy, reproduce, or commercially exploit our website or content without authorization.
Interfere with the operation or security of our website.
Infringe the intellectual property or other rights of Kaizen or any third party.
We reserve the right to restrict or terminate access to our website for violations of these Terms.
2. Products
We make reasonable efforts to accurately display and describe our products, including their colors, designs, measurements, materials, and other characteristics.
However, actual colors may vary slightly depending on your screen, device settings, lighting, garment production, or manufacturing variations.
Because many Kaizen pieces include embroidery and are individually produced, minor variations in embroidery placement, stitching, garment dimensions, or appearance may occur. Minor variations that are consistent with normal garment and embroidery production are not necessarily considered defects.
Nothing in this section limits your rights if an item is materially defective, damaged, incorrect, or otherwise fails to conform to applicable consumer-protection requirements.
Product descriptions, designs, pricing, availability, and other product information may be updated from time to time.
3. Made-to-Order Products
Kaizen products may be produced on a made-to-order basis rather than maintained as finished bulk inventory.
Please allow up to 14 days for production before your order ships unless a different production timeline is clearly stated on the product page or during checkout.
Production time is separate from shipping and transit time.
Once an order has shipped, estimated delivery is generally 7–10 business days depending on the destination and shipping method, unless otherwise stated.
International shipments may take longer due to customs processing, carrier delays, or destination-specific requirements.
Delivery dates and carrier estimates after shipment are estimates rather than guaranteed arrival dates unless we expressly state otherwise.
If we become unable to ship your order within the timeframe required by applicable law, we will provide any notice, cancellation opportunity, or refund required by law.
4. Orders
Submitting an order does not necessarily mean that we have accepted it.
We reserve the right, where reasonably necessary, to refuse, limit, or cancel an order, including in cases involving:
Suspected fraud or unauthorized payment.
Incorrect pricing or product information.
Product or material unavailability.
Errors affecting inventory or checkout.
Orders appearing to be placed for unauthorized resale.
Violations of these Terms.
Shipping restrictions or circumstances that prevent us from reasonably fulfilling the order.
If we cancel an order after payment has been successfully collected and no merchandise is provided, we will issue the appropriate refund.
We may contact you using the email address, phone number, or other information provided with your order if additional information is required.
5. Order Changes and Cancellations
Because our products may be made to order, production may begin shortly after an order is placed.
If you need to change or cancel an order, please contact us as soon as possible.
We will make reasonable efforts to accommodate cancellation or modification requests before production begins, but we cannot guarantee that an order can be changed or canceled after production has started.
If an order can no longer be canceled, any eligible return may be handled according to our Shipping & Returns Policy after the order is delivered.
Nothing in this section limits cancellation or refund rights that cannot legally be waived.
6. Prices and Payment
All prices displayed on our website are shown in the currency indicated at checkout.
Prices may change at any time without prior notice. A price change will not retroactively change the price of an order that has already been accepted except where there is an obvious pricing or technical error and applicable law permits correction.
You agree to provide current, complete, and accurate payment and billing information when placing an order.
Payments are processed through Shopify and/or third-party payment providers. Your use of those payment methods may also be subject to the applicable provider's terms.
We reserve the right to cancel or hold orders when a payment cannot be verified or appears fraudulent or unauthorized.
7. Taxes, Duties, and Other Charges
Applicable sales taxes may be calculated and collected at checkout where required.
For international orders, customs duties, import taxes, brokerage charges, processing fees, or other charges may be imposed by the destination country or carrier.
Unless expressly stated otherwise at checkout, these international charges are not included in the price of your order and are the responsibility of the customer.

8. Shipping
Shipping rates and available methods are displayed at checkout where applicable.
Kaizen currently offers free shipping on qualifying orders of $100 or more shipped within the United States and Canada, subject to any conditions disclosed on our website.
Unless otherwise stated, eligibility for a free-shipping threshold may be determined using the qualifying merchandise subtotal after applicable discounts and before taxes.
Free shipping does not include customs duties, import taxes, brokerage charges, or other fees that may be assessed on international shipments.
Customers are responsible for providing a complete and accurate shipping address.
If an order is returned or requires reshipment because of an incorrect or incomplete address provided by the customer, additional shipping charges may be the customer's responsibility.

9. International Orders
International customers are responsible for determining whether products can legally be imported into their destination country and for complying with applicable import requirements.
International orders may be subject to customs inspection, import duties, taxes, brokerage fees, carrier fees, or other charges beyond our control.
These charges are the customer's responsibility unless expressly stated otherwise during checkout.
International delivery estimates may be affected by customs processing or carrier delays.
If an international order is refused, left unclaimed, or returned because required duties, taxes, or carrier charges were not paid, any return shipping charges, customs charges, brokerage fees, or other expenses incurred by Kaizen may be deducted from any refund otherwise due, to the extent permitted by law.
10. Returns and Refunds
Returns and refunds are governed by our Shipping & Returns Policy, which is incorporated into these Terms.
Unless otherwise stated in that policy:
Eligible returns must be requested within the stated return period.
Returned products must meet the condition requirements described in the policy.
Customers are responsible for applicable return shipping costs unless an item arrives damaged, defective, or incorrect.
Original shipping charges are non-refundable except where otherwise required by law.
International customers are responsible for international return shipping unless the item received is damaged, defective, or incorrect.
We reserve the right to reject a return that does not meet the requirements of our published return policy, subject to applicable law.
11. Damaged, Defective, or Incorrect Items
If you receive an item that is damaged, defective, or different from what you ordered, please contact us promptly with your order information and, when reasonably requested, photographs showing the issue.
We will review the issue and provide an appropriate resolution based on the circumstances and applicable law.
Normal wear, damage caused after delivery, improper washing or care, misuse, alteration, or failure to follow garment-care instructions is not considered a manufacturing defect.
12. Promotions, Discounts, and Promotional Codes
Promotions, discounts, bundle offers, free-shipping offers, and promotional codes may be subject to additional conditions disclosed when the promotion is offered.
Unless expressly stated otherwise:
Promotional offers have no cash value.
Discounts cannot be applied retroactively to previously completed orders.
Certain promotions or discount codes may not be combined.
Products or collections may be excluded from promotions.
Promotional offers may be modified or discontinued where permitted by law.
If a promotion contains an error or is used in a manner inconsistent with its stated terms, we reserve the right to correct the error or reject the unauthorized use, subject to applicable law.
13. Intellectual Property
The Kaizen website and its contents, including without limitation:
The Kaizen name and branding.
Logos.
Garment graphics and artwork.
Embroidery designs.
Product designs.
Photographs.
Videos.
Written content.
Product descriptions.
Website design.
Graphics and other creative materials.
are owned by or licensed to Kaizen and are protected by applicable intellectual-property laws.
Purchasing a Kaizen product does not transfer any intellectual-property rights in the artwork, design, branding, or other creative material associated with that product.
You may not reproduce, copy, manufacture, modify, distribute, sell, license, commercially exploit, or create derivative works from our protected content without our prior written permission.
14. Feedback, Reviews, and Submissions
If you voluntarily submit reviews, feedback, photographs, comments, suggestions, or other content to us, you represent that you have the right to provide that content.
You may not submit content that is unlawful, fraudulent, abusive, defamatory, infringing, misleading, or that violates another person's rights.
We may remove content from our website where reasonably necessary, including content that violates these Terms or applicable law.
Nothing in these Terms is intended to restrict your right to provide an honest review or opinion about Kaizen or our products.
15. Third-Party Services and Links
Our website may use or link to services operated by third parties, including Shopify, payment processors, shipping carriers, analytics providers, advertising platforms, social-media services, or other technology providers.
We do not control third-party websites or services and are not responsible for their independent practices, content, availability, or policies.
Your use of a third-party service may be subject to that provider's own terms and privacy policy.
16. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.
By using our website, you acknowledge that your information may be processed as described in our Privacy Policy and as permitted by applicable law.
17. Website Availability and Accuracy
We make reasonable efforts to keep our website available and accurate, but we cannot guarantee that it will always operate without interruptions, delays, technical issues, or errors.
We may update, modify, suspend, or discontinue portions of the website where reasonably necessary.
We reserve the right to correct typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping charges, or other website information.
If an error materially affects an order you have already placed, we will address the order in accordance with applicable law.
18. Disclaimer of Warranties
To the fullest extent permitted by applicable law, our website and online services are provided on an “as available” basis.
We do not guarantee that the website will be uninterrupted, error-free, completely secure, or free from harmful components.
Nothing in these Terms excludes or limits warranties, guarantees, consumer rights, or other protections that cannot legally be excluded or limited.
19. Limitation of Liability
To the fullest extent permitted by law, Kaizen and its owners, officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of the website or services.
Where permitted by law, Kaizen's aggregate liability arising from a particular product order will not exceed the amount you paid to Kaizen for the product or order giving rise to the claim.
These limitations do not apply where liability cannot legally be excluded or limited, including where prohibited by applicable consumer-protection law.
20. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Kaizen and its owners, officers, employees, affiliates, contractors, and service providers from claims, liabilities, damages, or reasonable expenses resulting from your unlawful misuse of our website, your violation of these Terms, or your infringement of the rights of another person.
This provision does not require a consumer to indemnify Kaizen for Kaizen's own unlawful conduct, negligence, or obligations that cannot legally be transferred.
21. Events Beyond Our Reasonable Control
Events beyond our reasonable control may affect production, website availability, shipping, or other services. These events may include carrier disruptions, severe weather, natural disasters, labor disruptions, transportation interruptions, supply shortages, governmental actions, customs delays, power failures, or other circumstances outside our reasonable control.
We will not be responsible for delays caused solely by circumstances beyond our reasonable control except to the extent applicable law requires otherwise.
Any legally required notice, cancellation opportunity, or refund relating to delayed merchandise will still be provided.
22. Termination
We may suspend or terminate access to our website or services where reasonably necessary because of fraud, unlawful activity, security threats, abuse, or material violations of these Terms.
Provisions that by their nature should survive termination, including intellectual-property provisions, limitations of liability, and other accrued rights and obligations, will remain in effect.
23. Governing Law
These Terms and any dispute relating to them will be governed by the laws applicable in the jurisdiction where Kaizen is legally established, without regard to conflict-of-law principles, except where mandatory consumer-protection laws provide otherwise.
If Kaizen is legally based in South Carolina, this section should be updated to state:
“These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except where applicable consumer-protection laws require otherwise.”
Nothing in these Terms limits rights that consumers may have under mandatory laws applicable in their place of residence.
24. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.
The remaining provisions will continue in effect.
25. No Waiver
Our failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or any other provision in the future.
26. Entire Agreement
These Terms, together with our Privacy Policy, Shipping & Returns Policy, and any additional terms clearly presented in connection with a product, promotion, or service, constitute the agreement between you and Kaizen regarding your use of our website and services.
27. Changes to These Terms
We may update these Terms from time to time to reflect changes to our business, website, products, practices, or legal requirements.
Any updated Terms will be posted on this page with a revised Last Updated date.
Changes will apply prospectively unless otherwise permitted or required by law.
